STANDARD TERMS AND CONDITIONS OF SALES

TERMS:

All sales are cash or C.O.D. unless prior credit has been established. Credit terms herein extended are subject to revocation, modification, or withdraw at any time. All past due accounts are subject to a service charge of 1.5% per month (18% annual) and placed on C.O.D. Buyers failure to pay for any deliveries and /or Buyer will be charged a nominal fee for redeliveries. Prices and other terms of sales are subject to change without prior notice. Unless otherwise herein indicated, this price list does not include federal, state or local taxes, which will be added when applicable.

TITLE, DELIVERY AND RISK OF LOSS:

Delivery of products to Buyer shall take place upon delivery to a carrier consigned to Buyer or upon delivery directly to Buyer, whichever occurs first. Title and other terms of loss arising from any cause pass to Buyer upon delivery; provided DAIWA RADIATOR USA shall retain a security interest in all products delivered to Buyer until such products are paid in full. Buyer should fill claims of shortages or damages directly with the delivery carrier.

All prices are F.O.B. DAIWA RADIATOR USA Warehouse (Torrance CA 90504).

INSTALLATION, REPLACEMENT AND REPAIRS:

Under no circumstances will DAIWA RADIATOR USA make or secure installations, replacements or repairs; or be responsible for the cost thereof; or for any damages caused by faulty installation or repair.

DISCLAIMER OF INCIDENTAL AND CONSEQUENTIAL DAMAGES:

If no event will DAIWA RADIATOR USA be liable for incidental or consequential damage of any kind resulting from the order of or use of DAIWA RADIATOR USA‘s products, whether arising from Breach of warranty, nonconformity to ordered specifications, delay in delivery (regardless of whether or not the cause of such delay in beyond the control of DAIWA RADIATOR USA), or any loss sustained by the Buyer.

CANCELLATION, INSPECTION AND REJECTION:

Orders for material or equipment are not cancelable, either in whole or part, nor is material returnable for credit.

WARRANTY:

DAIWA RADIATOR USA warrant its products to be free from defects in material and workmanship for twelve (12) months from date of sales to first purchaser at retail. This warranty covers products furnished from DAIWA RADIATOR USA but does not include labor or any kind of materials not furnished by DAIWA RADIATOR USA; or any charges for any such labor or materials.

This warranty does not apply to any equipment which shall have been repaired or altered outside DAIWA RADIATOR USA in anyway so as, in the judgment of DAIWA RADIATOR USA to affect its stability nor which has been subject to misuse, negligence or operating conditions in excess of those for which such equipment was designed.

This warranty is extended to and enforceable by only the first purchaser at retail. Purchase receipt must be presented with all claims.

When a Daiwa Radiator USA product is suspected to be defective, contact us for warranty submission. All warranty returns require a Return Goods Authorization (RGA) number clearly marked on the outside of the carton being returned. The entire product must be returned, not just suspected defective part(s), shipped freight prepaid, together with the detailed written description of suspected failure. Daiwa Radiator USA reserves the right to provide repaired or replaced product via freight prepaid.

Credit will be issued upon inspection and acceptance of defective goods. Customer Service will notify you of rejected claims. You will have ten (10) working days from date of notification to request return of product to your facility freight collect. If no response is received, product will be discarded and no credit will be issued.
